1. Who We Are

Merus Protocol is a brand operated by Vici Syndicate LLC, a limited liability company registered in Casper, Wyoming, United States. References to "we," "us," "our," or "Merus Protocol" throughout these terms refer to Vici Syndicate LLC.

2. Eligibility

You must be at least 21 years of age to use this website or purchase our products. By placing an order, you confirm that you are 21 or older and have the legal capacity to enter into a binding agreement.

If we learn that an order was placed by someone under 21, we reserve the right to cancel it and refund the purchase price.

3. Products and Accuracy

We make every effort to display our products accurately, including descriptions, images, pricing, and ingredient information. However, we do not guarantee that product descriptions, photos, or other content on the site are complete, current, or error-free.

Colors, sizes, and packaging may vary slightly from what is shown on screen due to differences in photography, display settings, and manufacturing batches. Minor variations are not grounds for a return, although our 365-day guarantee applies regardless.

4. Orders, Pricing, and Payment

All prices are listed in US dollars and are subject to change without notice. We reserve the right to correct pricing errors. If a pricing error affects your order, we will contact you before processing it.

We reserve the right to refuse, cancel, or limit any order for any reason, including suspected fraud, unauthorized transactions, or reseller activity.

Payment is processed securely through Shopify Payments at the time of purchase. We do not store your credit card information on our servers.

5. Subscriptions

Subscription orders are recurring purchases that ship automatically at the cadence you select (every 30, 90, or 180 days). By subscribing, you authorize us to charge your payment method on file at each renewal interval.

You can cancel, pause, skip, or change your subscription cadence at any time through your account. No phone calls are required. Cancellation takes effect before the next scheduled charge. You will not be charged after cancellation.

6. Shipping and Returns

Risk of loss and title for items purchased from us pass to you upon delivery to the carrier.

We reserve the right to terminate your access to the site and cancel any pending orders if we determine you have violated these terms.

12. Limitation of Liability

Some jurisdictions do not allow limitations on implied warranties or liability for consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vici Syndicate LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the website, your violation of these terms, your violation of any applicable law or regulation, or any content you submit or transmit through the website.

14. Dispute Resolution

Please read this section carefully. It affects your legal rights.

We believe most issues can be resolved without formal proceedings. If you have a concern or complaint, we ask that you follow this three-step process before pursuing any legal action:

Step 1 — Contact us directly. Email support@merusprotocol.com with a description of your concern and your order number. We resolve the majority of issues within 48 hours, including full refunds under our 365-day guarantee. Most disputes never need to go further than this.

Step 2 — Informal resolution period. If your concern is not resolved through direct contact, both parties agree to engage in good-faith informal negotiation for a minimum of 60 days before initiating any formal proceeding. During this period, either party may propose solutions, request additional information, or involve a mutually agreed-upon mediator. The goal is resolution, not escalation.

Step 3 — Binding individual arbitration. If the dispute remains unresolved after the 60-day informal period, it shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Casper, Wyoming, or at another location mutually agreed upon. The arbitration will be conducted by a single neutral arbitrator. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis, not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Vici Syndicate LLC.

Opt-out: You may opt out of the arbitration and class action waiver provisions by sending written notice to support@merusprotocol.com within 30 days of your first purchase, stating your name, order number, and a clear statement that you wish to opt out. If you opt out, disputes not resolved informally will be resolved in the state or federal courts of Natrona County, Wyoming.

15. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Natrona County, Wyoming.

16. Severability

If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

17. Changes to These Terms

We reserve the right to update or modify these terms at any time. Changes take effect when posted on this page. We will update the "Last updated" date at the bottom when changes are made. Your continued use of the website after changes are posted constitutes acceptance of the revised terms.

For material changes that significantly affect your rights, we will make reasonable efforts to notify you by email or by posting a prominent notice on the website.
